Senior Legal Officer - 1 year CDD

Job Description

We have a great 1-year fixed term employed role for a candidate who has experience of running a portfolio of real estate entities from the Company Legal Administration perspective. This is a role providing cover for paternity leave.

To thrive in this role, you’ll need to be able to work with autonomy in a role that requires significant technical competency. You won’t manage others, but you will be expected to liaise effectively with third parties.
In the position, you will, for example:
• Manage a portfolio of Luxembourg entities from A-Z
• Taking full responsibility for managing the day-to-day corporate secretarial matters for a portfolio of companies
• Convene meetings of the Board of Managers and shareholders (e.g. for SARLs and RAIF)
• Liaise with Board Members, prepare agendas, collate and distribute board packs, draft minutes and resolutions, etc.
• Preparing a range of legal documentation such as loan agreements, repayment notices, Account 115s, documents for share premium, in-kind contributions, share class redemption, etc.,
• Maintaining accurate statutory records and filings
• Manage incorporations through to dissolutions, changes to the bylaws and drafting the relevant documentation
• Coordinating processes with third parties, maintaining good working relationships
• Liaison with notaries and with the trade registry
• Undertake ad hoc related tasks where necessary

Candidate Requirements

To be considered for this role, you will:
• Be happy to work in a 1-year fixed term employed role / contrat à durée déterminée
• Be capable of working independently to a high degree of accuracy and reliability
• Have at least 5 years’ prior experience (or more) in a similar role, being fully familiar with Luxembourg corporate legal administration.
• Possess fluent English language skills
• Enjoy working in an international environment.
