Job Description

Our client is a looking for a very experienced (alternative funds) legal officer / Company secretary / corporate officer to manage relationships with their external CoSec service providers. You wil ensure that your portfolio is serviced in compliance with agreed SLAs by those third party service providers, managing relationships and KPI. You mayl also take on director mandates for various alternative investment structures, relying on your in depth experience of corporate governance matters and great relationship management skills.
You'll speak fluent English and thrive in an international and demanding environment where your exceptional organisational and relationship management skills will be key, ensuring you are satisfied with the organisation and efficient running of the corporate life-cycle of the fund entities by your providers, and that processes and controls are effective.
Your responsibilities:
• Management of significant relationships with the company's service providers for governance services
• Liaise with your management contact to ensure that your SLAs are complied with, and that KPIs are met
• Managing any shortfalls in your provider's service line, ensuring that a standards are enhanced
• perform spot checks on board meetings, minutes, etc.,
• Take on various directorship mandates
• Maintain key external relationships with external counsel and local accountants/auditors, and monitor compliance
• Effectively manage the service provider relationship, ensuring appropriate and timely performance management and educating them on best practice where necessary

Candidate Requirements

To be considered for this role, you will:
• Speak fluent English to an excellent level and have prior Luxembourg experience and a current permission to work
• Have strong knowledge of alternative investment funds, and the ability to oversee effectively
• Possess excellent people management skills and have prior people management experience
• Possess a university degree in law, or in a relevant field
• Possess a minimum of 7+ years of relevant legal/corporate governance experience
• Have strong experience required in company secretarial and administrative matters with a Luxembourg holdings and funds
• Some evidence of relationship management
• Strong management and interpersonal skills; effective and impressive communicator
