VP Corporate Governance

Our thriving investment management client seeks a VP Level Corporate Governance Officer, reporting into the Executive Director in Luxembourg. You'll have with excellent English language skills (C2 / fluent), and ideally you will have significant experience working for an investment house or AIFM, being comfortable in a dynamic and demanding international environment.

You’ll be responsible for corporate compliance matters
You’ll coordinate board meetings, draft minutes and follow up on matters arising
You’ll establish and maintain policies and procedures for the smooth and proper functioning of the Board
Work with the investment team to manage transactions and restructurings from the perspective of Board approvals, coordination and documentation
Manage different stakeholders, including auditors, lawyers, etc.
Undertake ad hoc project work
Uphold the highest of governance standards
will conduct standard professional background checks on the final successful candidate.

To thrive in this role you must:

Be a real team player, able to roll-up your sleeves and be flexible, supportive and constructive with colleagues
Have solid experience in Luxembourg in a related Company Secretary / corporate officer / transaction officer / governance role, with at least 12 years’ experience (probably significantly more in corporate governance. Experience in CoSec / governance in the infrastructure or PE investment class would be ideal.
Have a stable career history
Be fluent in English, and happy in an international working environment
