Director - Fund Legal & Governance - AIFS

Are you a VP / Director level candidate, looking to be deputy head of a fund governance / Co Sec team? Our client is a leading investment manager with a team dedicated to funds investing in alternative assets in the EMEA region. The senior director leading the team is looking for a Director level candidate as their deputy to manage relationships with service providers, undertake project work, and supervise and guide day to day fund board governance work, Board advisory, managing transactions and legal risk.
You'll speak fluent English and thrive in an international and demanding environment where your exceptional organisational and relationship management skills will be key. You will rely on your in depth experience of corporate governance matters, develop strong relationships between the AIFM Board and conducting officers as trusted advisor, and be responsible for managing co sec service providers, ensuring you are satisfied with the organisation and efficient running of the corporate life-cycle of the fund entities, and that processes and controls are effective.
Your responsibilities:
• Management of significant relationships with the company's service providers for governance services
• Advise the Board and Conducting Officers on legal governance issues
• Managing any shortfalls in your provider's service line, ensuring that a standards are enhanced
• Support various projects internally
• Act as deputy team head, managing complex issues, managing team members and mentoring
• Maintain key external relationships with external counsel and local accountants/auditors, and monitor compliance with requirements
• Monitor quality of legal documents, supervise incorporations, liquidations, supporting acquisitions, financings, etc.
• Effectively manage the service provider relationship, ensuring appropriate and timely performance management and educating them on best practice where necessary
• Liaise with other teams for investor onboarding, and ensure compliance with policies and procedures

Candidate Requirements

To be considered for this role, you will:
• Experience in a similar role in an AIFM, and at least 8 years’ relevant experience in corporate / fund governance issues
• Excellent fluent English language skills, with the ability to communicate effortlessly across offices, and with SIFM Boards and Conducting Officers
• Have strong knowledge of alternative investment funds, a down to earth approach, and have a stable career history demonstrating commitments
• Possess prior team management skills and the ability to create a positive team environment
• Proactive, professional and solution orientated
• The ability to instill trust and confidence
